Terms of Service

1. Agreement to Terms

By accessing or using Rush, Halo, or any other products or services provided by Phoenix Horizon, Inc. ("Phoenix," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

Phoenix provides AI agent software that can take actions on your behalf, including but not limited to sending emails, posting to social media, and interacting with third-party services. You acknowledge and accept the unique risks associated with autonomous AI agents.

2. Description of Services

Phoenix offers the following products:

  • Rush - An AI agent operating system for macOS that enables users to deploy and manage AI agents.
  • Halo - A cloud platform for agent development, deployment, and distribution.
  • AgentLang - An open-source specification for defining AI agents (licensed under Apache 2.0).

Our agents can connect to third-party services (Google, Twitter, Slack, Stripe, and others) via OAuth to perform actions on your behalf.

3. User Responsibilities

You are solely responsible for:

  • All agent actions. Any action performed by an agent using your account or connected services is deemed to be authorized by you. You must review and verify agent outputs before they result in real-world consequences.
  • Account security. You are responsible for maintaining the security of your connected accounts (Gmail, Twitter, Slack, etc.). Any action performed using your OAuth tokens is your responsibility.
  • Third-party compliance. When using agents to interact with third-party services, you agree to comply with those services' terms of service and acceptable use policies.
  • Accuracy verification. AI outputs may be inaccurate, biased, or hallucinated. You must verify facts and review outputs before taking actions based on them.
  • Legal compliance. You are responsible for ensuring your use of our services complies with all applicable laws and regulations in your jurisdiction.

4. Prohibited Uses

You may not use Phoenix products to:

Illegal Activities

  • Engage in any activity that violates applicable laws
  • Commit fraud, theft, or financial crimes
  • Facilitate money laundering or terrorist financing
  • Evade taxes or violate export controls

Harmful Content

  • Generate, distribute, or promote child sexual abuse material (CSAM)
  • Create pornographic or sexually explicit content
  • Develop, promote, or facilitate weapons, explosives, or dangerous materials
  • Generate content that promotes violence, terrorism, or hatred
  • Create malware, viruses, or other malicious code

Abuse and Harassment

  • Harass, stalk, threaten, or intimidate others
  • Impersonate individuals or entities without disclosure
  • Send unsolicited messages (spam) via email, social media, or messaging platforms
  • Engage in coordinated inauthentic behavior or manipulation

Security Violations

  • Attempt to bypass, disable, or circumvent safety measures, content filters, or security controls ("jailbreaking")
  • Engage in prompt injection attacks or adversarial prompting to cause unintended agent behavior
  • Access or attempt to access other users' data or accounts
  • Reverse engineer, decompile, or attempt to extract our proprietary systems
  • Conduct unauthorized security testing or penetration testing

High-Risk Autonomous Decisions

  • Make fully autonomous decisions in legal, medical, or financial domains without human review
  • Execute unauthorized financial transactions, payments, or trades
  • Operate critical infrastructure without human oversight
  • Make hiring, firing, or consequential personnel decisions

Platform Abuse

  • Violate the terms of service of connected third-party platforms
  • Scrape, crawl, or harvest data in violation of platform policies
  • Overwhelm systems with excessive requests (denial of service)
  • Interfere with elections, voting, or democratic processes
  • Generate synthetic media (deepfakes) for deception or fraud

5. Google API Services

Rush uses Google API Services to provide email, calendar, and spreadsheet functionality through AI agents. By connecting your Google account, you acknowledge that:

  • Rush accesses your Google data only to perform the specific agent tasks you invoke
  • Your Google data may be sent to LLM providers (Anthropic, OpenAI) as part of agent task execution
  • You can revoke Rush's access to your Google account at any time through Rush settings or Google Account permissions

Rush's use of Google API data is governed by our Privacy Policy and complies with the Google API Services User Data Policy, including the Limited Use requirements.

6. Intellectual Property

Your Content. You retain ownership of any content you create, upload, or generate using our services. By using our services, you grant Phoenix a limited license to process, display, and store your content as necessary to provide the services.

Our Services. Phoenix and its licensors retain all rights in our software, agents, documentation, and other materials. AgentLang is licensed under Apache 2.0 and subject to its respective license terms.

Feedback. Any feedback, suggestions, or ideas you provide about our services may be used by Phoenix without obligation to you.

7. Third-Party Services

Our services integrate with third-party platforms including Google, Twitter/X, Slack, Stripe, and others. Your use of these integrations is subject to those platforms' terms of service and privacy policies. Phoenix is not responsible for:

  • Actions taken by third-party services or their availability
  • Changes to third-party APIs or policies
  • Data breaches or security incidents at third-party services
  • Content or conduct on third-party platforms

8. AI and Agent Limitations

You acknowledge that:

  • AI agents may produce inaccurate, incomplete, or biased outputs
  • Agents may occasionally take unintended actions due to misinterpretation of instructions or model limitations
  • We do not guarantee that agents will successfully complete any action due to network errors, API changes, or model failures
  • AI agents are tools and should not be relied upon as substitutes for professional advice (legal, medical, financial, or otherwise)

9. Payment and Billing

Certain Phoenix services require payment. By subscribing to paid services, you agree to pay all applicable fees. Fees are non-refundable except as required by law. We may change our pricing with reasonable notice.

Usage-based charges (such as LLM API costs) are billed based on actual consumption. You are responsible for monitoring your usage and associated costs.

10. Termination

We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. You may stop using our services at any time.

Upon termination, your right to use the services ceases immediately. We may delete your data in accordance with our data retention policies, unless retention is required by law.

11. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that our services will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy, reliability, or completeness of any AI-generated content.

12. Limitation of Liability

To the maximum extent permitted by law, Phoenix and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of our services.

Our total liability for all claims arising from or related to these terms or our services shall not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amounts paid by you to Phoenix in the twelve (12) months preceding the claim.

This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Phoenix has been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless Phoenix and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Actions taken by agents on your behalf
  • Content you create, upload, or generate

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

You agree to resolve disputes with us on an individual basis. Class actions and class arbitrations are not permitted.

15. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you through our services or by other means. Your continued use of our services after changes become effective constitutes acceptance of the modified Terms.

16. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Phoenix regarding our services.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment. You may not assign these Terms without our consent. We may assign these Terms without restriction.
